This User Agreement governs access to and use of Startupperz.com and the related job discovery, matching, application, account, subscription and other services made available by Startupperz, Inc (collectively, the “Services”).

Please read it carefully before creating an account, purchasing a plan, submitting application materials, or otherwise using the Services.

1. Contract and Acceptance

1.1 Binding Agreement

By clicking “Sign Up,” “Subscribe,” “Continue,” “Apply,” or a similar button, by creating an account, purchasing a plan, accessing, or using the Services, you agree to enter into a legally binding contract with Startupperz, Inc (“Startupperz,” “we,” “us,” or “our”).

If you do not agree to this User Agreement, do not access or use the Services.

This User Agreement applies to registered users (“Members”) and, where relevant, unregistered visitors (“Visitors”). Our Privacy Policy and any additional terms displayed for a particular feature form part of the rules governing your use of the Services.

1.2 Changes

We may update this Agreement from time to time. Where required by applicable law, we will provide reasonable notice of material changes before they become effective.

Continued use after the effective date of an update constitutes acceptance to the extent permitted by law. Changes do not retroactively alter rights that have already accrued.

2. Eligibility and Accounts

2.1 Eligibility

You must have the legal capacity to enter into this Agreement and meet any minimum age required by the law applicable to you.

If you are not legally able to enter into this Agreement on your own behalf, you may not use paid Services without the authorization required by applicable law.

2.2 Account Information and Security

You agree to provide accurate, current and complete information; maintain the confidentiality of your credentials; and promptly notify us of suspected unauthorized use.

You are responsible for activity occurring through your account to the extent permitted by law.

You may not impersonate another person, create deceptive accounts, sell or transfer an account without permission, or use another person's account without authorization.

3. Startupperz Job Services

3.1 Job Discovery and Matching

Startupperz provides technology that may identify, organize, display, recommend or otherwise make available employment and career opportunities based on information supplied by users, employers, third-party sources, automated systems, and other data.

A “match,” recommendation, ranking, score or suggested job is an informational tool only. It does not mean that an employer has reviewed, selected, endorsed or expressed interest in you.

3.2 CVs and Applications

Depending on the features available to your plan, you may upload, store, create, transmit or submit CVs, resumes, cover letters, profile information and other application materials (“Application Materials”).

You authorize Startupperz to process those materials as necessary to provide the feature you request, including transmitting them to an employer or third-party application destination when you instruct or authorize us to do so.

You are responsible for reviewing your Application Materials and ensuring that they are accurate, lawful and appropriate before submission.

Where Startupperz assists with formatting, matching, automation or generated content, you remain responsible for verifying the final information sent in your name.

3.3 No Employment Guarantee

STARTUPPERZ DOES NOT GUARANTEE THAT YOU WILL RECEIVE A RESPONSE, INTERVIEW, OFFER, EMPLOYMENT, PARTICULAR SALARY, CAREER OUTCOME OR ANY OTHER RESULT.

Results depend on factors outside Startupperz’s control, including your experience, qualifications, application materials, location, labor-market conditions, employer decisions, timing and the accuracy or availability of third-party information.

Purchasing a paid plan gives you access to the features described for that plan; it does not purchase an interview, placement, employment outcome or employer response.

3.4 Startupperz Is Not the Employer

Unless expressly stated otherwise for a specific listing, Startupperz is not the employer for jobs displayed through the Services and is not a party to an employment relationship between a user and an employer.

Employers and other third parties are independently responsible for their hiring processes, communications, offers, employment conditions and decisions.

4. Third-Party Job Listings and Services

Job listings, employer information, links and other third-party content may originate from employers, public sources, partners or other third parties.

Such information may become outdated, duplicated, incomplete, inaccurate, unavailable, misleading or removed without notice.

Startupperz may use reasonable measures to improve relevance and quality, but does not warrant that every listing is current, authentic, complete or error-free.

You should independently evaluate employers, job offers and requests for information.

Never send money or sensitive financial credentials to an alleged employer merely because a listing appears through Startupperz.

Third-party websites and services are governed by their own terms and privacy practices.

Startupperz is not responsible for their acts, omissions, availability, security, hiring decisions or content.

5. Paid Plans, Billing and Renewal

5.1 Plans

Startupperz currently offers the following paid plans, subject to the pricing displayed at checkout:

• 1 Month: US$9.99 per month. Recurring subscription.
• 1 Year: US$39.99 per year. Recurring subscription.
• Lifetime: US$79.99 one-time payment. No recurring subscription charge.

Prices, currencies, taxes and available plans may vary where permitted by law. The checkout page controls if it clearly discloses a different applicable price before purchase.

5.2 Automatic Renewal

Monthly and yearly subscriptions automatically renew for successive periods of the same duration unless cancelled before the applicable renewal, subject to mandatory law and any notice requirements applicable to you.

By purchasing a recurring plan, you authorize the applicable payment provider to charge the payment method associated with your purchase for renewal fees and applicable taxes.

The Lifetime plan is a one-time purchase and does not automatically renew.

“Lifetime” means access to the covered Startupperz plan or features for as long as Startupperz continues to operate and offer that lifetime service, subject to this Agreement, applicable law, reasonable product evolution, and the termination provisions below.

It does not mean the lifetime of an individual user, nor does it guarantee that every present or future feature will be included forever.

5.3 Payment Processing

Payments may be processed by third-party payment processors such as Stripe.

Startupperz does not need to receive or store your full payment-card details in order for such providers to process a transaction.

Your payment provider may apply its own terms, privacy policy, authentication requirements, exchange rates or fees.

5.4 Cancellation

You may cancel a recurring subscription using any cancellation functionality made available through your account or by contacting [email protected] where appropriate.

Cancellation prevents future renewal charges but ordinarily does not terminate access already paid for; access continues through the end of the current paid billing period unless otherwise stated or required by law.

Deleting an account does not necessarily cancel a separately active subscription unless the cancellation is confirmed.

6. Refunds and Statutory Withdrawal Rights

Except where required by applicable law, fees already paid are generally non-refundable, including for unused time, lack of job responses, lack of interviews, failure to obtain employment, or a user's decision not to use available features.

Nothing in this Agreement removes or limits a consumer right that cannot legally be waived.

If mandatory consumer law gives you a right of withdrawal, cancellation, reimbursement or other remedy, that law prevails over an inconsistent provision of this Agreement.

Where legally permitted and properly disclosed during checkout, a consumer who expressly requests immediate performance of a digital service during a statutory withdrawal period may be asked to provide the acknowledgments or consents required by applicable law.

Startupperz will apply statutory withdrawal and refund rights according to the law applicable to the transaction.

7. User Content and License

As between you and Startupperz, you retain ownership of the content and Application Materials you provide.

You grant Startupperz a non-exclusive, worldwide, royalty-free license to host, copy, process, format, transmit and otherwise use that content only as reasonably necessary to operate, secure, improve and provide the Services you request, subject to our Privacy Policy and applicable law.

You represent that you have the necessary rights to provide your content and that it does not unlawfully infringe another person's privacy, intellectual-property or other rights.

You must not submit false qualifications, forged documents, malicious files or content you are not authorized to use.

8. Acceptable Use

You agree to use the Services lawfully and professionally.

You must not:

• Use the Services for fraud, impersonation, harassment, unlawful discrimination, spam or other illegal conduct.
• Scrape, harvest, crawl, copy or systematically extract Service data through unauthorized automated means.
• Circumvent access controls, rate limits, payment controls or security measures.
• Introduce malware, interfere with the Services, probe vulnerabilities without authorization, or impose an unreasonable technical load.
• Reverse engineer or attempt to derive non-public source code except where such restriction is prohibited by law.
• Resell or commercially exploit access to the Services or Startupperz data without written authorization.
• Infringe copyrights, trademarks, database rights, privacy rights or other rights of Startupperz or third parties.
• Misrepresent an affiliation with Startupperz or an employer.

We may investigate suspected misuse and may restrict, suspend or terminate access where reasonably necessary to protect users, third parties, Startupperz or the integrity of the Services, subject to applicable law.

9. Startupperz Intellectual Property

The Services, including Startupperz branding, software, interface, original text, graphics, designs, databases and other proprietary elements, are owned by Startupperz or its licensors and are protected by applicable intellectual-property laws.

Except for the limited right to use the Services under this Agreement, no rights are transferred to you.

10. Service Availability and Changes

We may improve, modify, add, remove, suspend or discontinue features and may change prospective pricing, subject to applicable law and commitments already made for a paid period.

We do not guarantee uninterrupted or error-free availability. Maintenance, security incidents, provider outages, internet failures, legal requirements and events beyond our reasonable control may affect availability.

Startupperz is not a permanent storage or backup service for your CVs or other materials. Keep your own copies of important documents.

11. Privacy and Automated Processing

Startupperz may process account information, profile information, CV data, job preferences, usage information and other information needed to provide matching, application and related functionality, in accordance with the Startupperz Privacy Policy and applicable data-protection law.

Matching and recommendation features may use automated processing to compare information about you with job-related information.

Automated recommendations are intended to assist discovery and do not constitute an employer's hiring decision.

Where applicable law provides rights relating to personal data or automated decision-making, those rights remain unaffected by this Agreement.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

STARTUPPERZ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT JOB INFORMATION, MATCHES, EMPLOYER INFORMATION OR THIRD-PARTY CONTENT WILL ALWAYS BE ACCURATE, COMPLETE, CURRENT OR SUITABLE FOR YOU.

Nothing in this section excludes warranties, guarantees or consumer protections that cannot lawfully be excluded.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Startupperz and its officers, directors, employees, affiliates and service providers will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, opportunities, employment prospects, goodwill or data, arising from or related to the Services.

To the maximum extent permitted by applicable law, Startupperz’s aggregate liability arising from the paid Services giving rise to a claim will not exceed the amount you paid to Startupperz for those Services during the twelve months preceding the event giving rise to the claim.

These limitations do not apply where liability cannot lawfully be excluded or limited, including where mandatory law provides otherwise.

Nothing in this Agreement limits liability for fraud or other liability that applicable law makes non-excludable.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Startupperz harmless from third-party claims arising from content you unlawfully submit, your material breach of this Agreement, or your unlawful use of the Services.

This provision does not require a consumer to indemnify Startupperz where such an obligation would be prohibited or unfair under mandatory law.

15. Suspension and Termination

You may stop using the Services at any time. You may close your account subject to any available account controls and applicable retention obligations.

Startupperz may restrict, suspend or terminate an account for material or repeated breach of this Agreement, fraud, security risk, unlawful activity, non-payment or misuse of the Services, and may take immediate action where reasonably necessary to prevent harm.

Termination does not erase payment obligations or other rights and obligations that by their nature should survive, including provisions concerning intellectual property, disclaimers, liability, disputes and amounts already due.

16. Communications

You agree that Startupperz may send transactional and service-related notices using the contact information associated with your account, including messages concerning account security, applications, subscriptions, billing and material changes to the Services or legal terms.

Marketing communications are subject to applicable consent and opt-out requirements.

17. Governing Law and Consumer Rights

This Agreement is governed by the laws of France, without prejudice to mandatory consumer protections that may apply under the law of a consumer's country of residence.

If you are a consumer, nothing in this Agreement deprives you of mandatory rights or a competent forum that applicable law grants you.

Before starting formal proceedings, users are encouraged to contact [email protected] so that Startupperz can attempt to resolve the issue.

Any dispute provision is subject to mandatory consumer-law, jurisdiction and dispute-resolution requirements applicable to the parties.

18. General Terms

If a provision of this Agreement is found invalid or unenforceable, it will be limited or modified to the minimum extent necessary and the remaining provisions will continue in effect.

Failure to enforce a provision is not a waiver.

You may not transfer your account or this Agreement without our consent, except where applicable law provides otherwise.

Startupperz may reorganize or assign its rights and obligations as part of a merger, acquisition, restructuring or transfer of the relevant business, subject to applicable law.

This Agreement, together with the Privacy Policy and any applicable feature-specific or checkout terms, constitutes the agreement governing your use of the Services and supersedes prior terms concerning the same subject matter.
